CarbonAnalytics Terms of Service

Welcome to CarbonAnalytics ("we," "us," "our," or "Company"). These Terms of Service ("Terms") govern your use of our carbon analytics platform, services, and related technologies (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you don't agree to these Terms, you may not access or use our Services.

We may modify these Terms at any time. We'll notify you of material changes via email or through our platform. Continued use of our Services after changes become effective constitutes acceptance of the new Terms.

CarbonAnalytics provides: • Carbon footprint measurement and tracking • Sustainability analytics and reporting • Environmental impact assessments • Carbon offset marketplace integration • ESG (Environmental, Social, Governance) reporting tools • API access for enterprise integrations

We strive for high availability but don't guarantee uninterrupted service. Service availability is subject to our underlying infrastructure and hosting providers. We may suspend or modify Services for maintenance, updates, security reasons, or due to infrastructure provider requirements or outages.

To access certain features, you must create an account with accurate information. You're responsible for: • Maintaining account security • All activities under your account • Promptly updating account information • Immediately notifying us of unauthorized access

You must be at least 16 years old to use our Services. Users under 18 require parental consent.

You acknowledge and agree that: • You are solely responsible for the accuracy, completeness, and quality of all data you provide • You must verify all carbon calculations independently before official reporting • We strongly recommend professional verification by qualified third-party auditors • You assume all risk associated with reliance on our calculations • Independent verification is essential for regulatory compliance and stakeholder confidence

You agree NOT to: • Violate any laws or regulations • Infringe on intellectual property rights • Upload malicious code or viruses • Attempt unauthorized access to our systems • Use Services for fraudulent purposes • Reverse engineer our platform • Resell or redistribute our Services without permission

By using our Services, you consent to our collection and processing of data as described in our Privacy Policy.

You retain ownership of data you provide. You grant us a license to use your data to provide Services and improve our platform.

You're responsible for ensuring accuracy of data you provide. We're not liable for decisions based on inaccurate data.

CarbonAnalytics and its technology, algorithms, and content are protected by intellectual property laws. We retain all rights not expressly granted to you.

You retain rights to content you create using our Services but grant us a license to use it for service provision and improvement.

Any feedback you provide becomes our property and may be used without compensation or attribution.

Current subscription pricing and features are detailed at carbonanalytics.com/pricing. All subscription fees are billed in advance and are non-refundable, unless required by applicable law. By subscribing, you authorise CarbonAnalytics to automatically charge your selected payment method for recurring fees in accordance with your chosen plan.

We use third-party payment processors to manage billing and transactions. By subscribing, you agree to their terms and privacy policies. We do not store or process your full payment information directly.

Subscriptions automatically renew at the end of each billing cycle unless cancelled in accordance with Section 6.4 or Section 9.1. You will be charged on your billing date unless a valid cancellation request has been received and confirmed.

To cancel your subscription, you must send an email to cancellation@carbonanalytics.com from the registered account email address. • Cancellation requests must be received at least 72 hours before your next billing date to avoid being charged for the following billing period. • If a request is received after your account has already been charged, your subscription will remain active until the end of the current billing cycle, and access will continue until that period ends. • Example: If you are billed on 31 January, you must submit your cancellation by 28 January. If submitted later, your subscription will remain active through 28 February and terminate on 1 March. • We do not offer prorated refunds for mid-cycle cancellations.

We reserve the right to change our pricing model, subscription fees, and service features at any time without prior notice, except where: • Existing customers have pre-agreed fixed pricing terms; • Enterprise customers are protected by contractually agreed pricing; or • Applicable law requires advance notice. Price changes take effect immediately for new customers and at the start of the next billing cycle for existing customers.

IMPORTANT: CarbonAnalytics provides SOFTWARE TOOLS and methodologies to assist with carbon accounting and reporting. We DO NOT provide professional accounting, auditing, or verification services. Our platform is a tool to support your carbon accounting processes, but: • You are solely responsible for the accuracy of all data you input • You are solely responsible for the completeness of your carbon accounting • You are solely responsible for ensuring compliance with applicable regulations • You are solely responsible for verification of results before any official reporting • We strongly recommend independent third-party verification of all carbon accounting calculations before official submission or public disclosure

Services are provided "AS IS" without warranties of any kind. We disclaim all warranties, express or implied, including but not limited to: • Accuracy of carbon calculations or emission factors • Completeness of methodologies or databases • Suitability for any particular regulatory requirement • Fitness for any specific purpose or use case • Non-infringement of third-party rights

While we strive to provide accurate tools and up-to-date emission factors: • We make no warranties regarding the accuracy, completeness, or reliability of any calculations • Emission factors may change and historical data may become outdated • Methodologies may evolve based on scientific developments • You must validate all results independently before relying on them • Professional verification is recommended for all official reporting

• We do not guarantee compliance with any specific regulations or standards • Regulatory requirements vary by jurisdiction and may change • You are responsible for understanding applicable requirements • Professional advice should be sought for regulatory compliance • Independent verification may be required by regulations or stakeholders

To the maximum extent permitted by law: • Our total liability is limited to the amount paid by you in the 12 months preceding the claim • We are not liable for any carbon accounting errors or omissions in your reporting • We are not liable for regulatory non-compliance arising from use of our services • We are not liable for business decisions made based on our calculations • We are not liable for financial losses from carbon reporting inaccuracies

We're not liable for indirect, incidental, consequential, special, or punitive damages, including but not limited to: • Lost profits or business opportunities • Regulatory fines or penalties • Reputational damage • Business interruption • Loss of data or information

Our Services depend on third-party infrastructure and hosting providers. We are not liable for: • Infrastructure provider outages or performance issues • Third-party service failures affecting our platform • Network connectivity issues beyond our control • Cloud service provider limitations or downtime • Database or hosting service interruptions

You agree to indemnify and hold us harmless from claims arising from your use of Services or violation of these Terms.

You may request to terminate your subscription at any time by sending an email to cancellation@carbonanalytics.com using the same email address associated with your account. • Cancellation requests must be submitted at least 72 hours prior to your next scheduled billing date to avoid being charged for the following billing period. • If a cancellation request is received after your account has already been charged, your subscription will remain active until the end of the current billing cycle, after which it will be automatically deactivated. • For example: if your billing date is 31 January and you submit a cancellation request on 29 January, your account will remain active through 28 February and terminate on 1 March. • We do not provide prorated refunds for unused portions of a billing period.

We may suspend or terminate your account at our discretion, including for: • Violation of these Terms, • Non-payment of fees, or • Any other reasonable business or legal reason. We will provide reasonable notice where practicable, except in cases of fraud, abuse, or security concerns.

Upon termination: • Your access to the Services will cease after your active billing cycle ends. • Any data associated with your account will be retained or deleted in accordance with our Privacy Policy. • Any outstanding payments or obligations incurred before termination will remain due.

These Terms are governed by the laws of England and Wales.

Disputes shall be resolved in the courts of England and Wales.

We encourage good faith resolution of disputes before litigation.

These Terms, together with our Privacy Policy, constitute the entire agreement between us.

If any provision is unenforceable, the remaining provisions remain in full force.

We may assign these Terms. You may not assign without our written consent.

We're not liable for failures due to circumstances beyond our reasonable control.
